Welcome to Prek Market (“we”, “our”, “us”). These Terms and Conditions (“Terms”) govern your use of our website and mobile application (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you should not use the Service.

Account Registration

1. Eligibility: You must be at least 18 years old to create an account and use the Service. By creating an account, you represent and warrant that you meet this requirement.
2. Account Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3. Account Security: You are responsible for maintaining the confidentiality of your account login credentials and are fully responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

Use of the Service

1. License: We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for personal, non-commercial use, subject to these Terms.
2. Prohibited Activities: You agree not to use the Service for any unlawful or prohibited purpose, including but not limited to:
   • Violating any applicable laws or regulations.
   • Interfering with or disrupting the operation of the Service.
   • Harassing, abusing, or harming other users.
   • Attempting to gain unauthorized access to the Service or its related systems.
3. User Content: You are responsible for the content you post or upload to the Service, including comments, reviews, and ratings. You grant us a non-exclusive, royalty-free, worldwide, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content.

Orders and Payments

1. Order Acceptance: By placing an order through our service, you agree to pay the total price indicated for the selected product(s), including applicable taxes and shipping fees. All orders are subject to confirmation and acceptance by the Vendor.
2. Accepted Payment Methods: We currently support the following payment methods:
   
   • KHQR Payment: A secure and convenient method to pay using your mobile banking app. Upon checkout, a KHQR code will be generated for you to scan and complete your payment instantly.
   • Cash on Delivery (COD): Currently not available. We encourage customers to use KHQR for a safe and seamless transaction experience.
3. Shipping and Delivery: Shipping times and fees may vary depending on the Vendor and the selected shipping option. Vendors are responsible for ensuring timely dispatch and delivery of products. You will be notified with tracking or delivery details once your order is shipped.

Returns and Refunds

1. Return Policy: Please review our Order and Return Policy for information on the conditions under which you may return products and receive refunds.
2. Defective or Incorrect Products: If you receive a defective or incorrect product, please contact us within 1 days of receiving your order for assistance. Vendors who send incorrect or different products from the specified listing will not be able to withdraw money for that transaction. The money will be returned to the customer, and the product sent to the customer may or may not be returned to the vendor, depending on the circumstances.

Intellectual Property

1. Ownership: All content and materials available on the Service, including but not limited to text, images, logos, and trademarks, are the property of Prek Market or its licensors and are protected by copyright and other intellectual property laws.
2. License to Use: You may not use, reproduce, distribute, or create derivative works from any content or materials on the Service without our prior written consent.

Privacy Policy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and share your personal information. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

Vendor Terms and Conditions

If you register as a vendor on Prek Market, you agree to the following additional terms that govern your use of the vendor services:

1. Commission on Sales: Prek Market charges a commission on each successful sale made through the platform. This commission is automatically deducted from the total amount before vendor payout. The commission rate is subject to change at any time without prior notice.
   (Note: Prek Market reserves the right to introduce or modify the commission structure in the future. Any changes will be communicated in advance through our official channels.)
2. Vendor Payment Collection Authorization: By registering as a vendor, you agree to allow Prek Market to collect payments from customers for your orders through the Prek Market payment system.
3. Payout Process: Vendor earnings will be eligible for payout after the customer confirms receipt of the product through our platform. If the customer does not confirm within the designated timeframe, the system will automatically confirm delivery.
   Payouts are not automatic—vendors must submit a withdrawal request through their vendor dashboard. Once approved, the payout will be processed according to the platform’s payment schedule.
   • Vendors must have a local Cambodian bank account that supports KHQR in order to receive payments.
   • International bank accounts are not supported.
   • Any bank transfer fees or charges incurred during the payout process will be the responsibility of the vendor, as Prek Market does not deduct commissions and aims to minimize platform costs.
4. Tax Responsibility: Vendors are solely responsible for complying with all applicable tax laws, including the reporting and payment of any taxes, VAT, or other government-imposed charges related to their sales on the platform.
   Prek Market does not withhold, collect, or remit any taxes on behalf of vendors and shall not be held responsible for any tax-related obligations or liabilities incurred by vendors.
5. Product Accuracy and Delivery: Vendors are responsible for providing accurate product listings and ensuring timely delivery. If a product is found to be significantly different from the listing or is defective, Prek Market may refund the customer. In such cases, the vendor will not receive a payout, and product return arrangements will be at Prek Market’s discretion.
6. Vendor Conduct: Vendors must comply with all applicable laws, maintain a professional and respectful attitude toward customers, and refrain from fraudulent, deceptive, or abusive behavior. Prek Market reserves the right to suspend or terminate vendor accounts that violate these terms.

Affiliate Program

By registering for an account on Prek Market, all users are automatically eligible to participate in Prek Market’s affiliate program, subject to these Terms and any additional affiliate guidelines, rules, or policies that we may introduce from time to time.

As an affiliate, users may earn rewards or commissions, or other incentives by promoting Prek Market, its products, or services through approved methods provided on the platform.

Prek Market reserves the right to:

• Determine eligibility for affiliate rewards;
• Modify, suspend, or terminate the affiliate program at any time;
• Adjust commission rates, reward structures, or qualification criteria without prior notice;
• Withhold or cancel affiliate rewards in cases of fraud, abuse, misuse, or violation of these Terms.

Affiliate rewards or commissions are non-transferable and are subject to verification, applicable taxes, and payout conditions as determined by Prek Market.

Participation in the affiliate program constitutes acceptance of all applicable Affiliate Program Terms and Conditions.

Modifications to the Service and Terms

1. Changes to the Service: We reserve the right to modify or discontinue the Service at any time, with or without notice.
2. Changes to the Terms: We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on our platform. Your continued use of the Service after the posting of the revised Terms constitutes your acceptance of the changes.

Limitation of Liability

To the fullest extent permitted by law, Prek Market shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Service.
• Any unauthorized access to or use of our servers and/or any personal information stored therein.
• Any interruption or cessation of transmission to or from the Service.
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service by any third party.
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Cambodia, without regard to its conflict of law principles.
