These Vendor Terms and Conditions (“Terms”) form a legally binding agreement between you (“Vendor,” “you,” or “your”) and Prek Market (“we,” “us,” or “our”) regarding your access to and use of the Prek Market e-commerce platform (“Platform”) to sell goods or services.

By registering as a vendor and using the Platform, you agree to comply with and be bound by these Terms.

1. Vendor Registration and Eligibility

1.1. Eligibility: To register as a Vendor on Prek Market, you must:

• • Be at least 18 years old or of legal age in your jurisdiction;
  • Have the legal authority to represent and bind a business (if applicable);
  • Provide complete and accurate personal or business information;
  • Maintain an active bank account for payouts.
  • All products you list must be Made in Cambodia or be a Cambodian brand. Foreign brands must have the legal rights to sell or distribute their products in Cambodia. Products for which you do not have the right to sell or distribute are not eligible for sale on the Platform.

1.2. Verification: Prek Market reserves the right to verify your identity, business registration, and product authenticity at any time.

2. Vendor Obligations

2.1. Product Listings: Vendors are responsible for:

• • Creating accurate and complete listings, including product names, descriptions, prices, stock quantity, shipping details, and images;
  • Ensuring all listed products are legal, safe, and meet quality standards;
  • Updating listings in a timely manner.

2.2. Order Fulfillment: Vendors must:

• • Process and ship orders promptly according to shipping timelines;
  • Provide tracking information (if applicable);
  • Notify Prek Market and customers of any delays or issues.

2.3. Customer Service:

• • Vendors are responsible for handling post-sale services, including returns, replacements, disputes, and warranty claims;
  • Vendors must respond to customer inquiries or complaints within 24 hours.

2.4. Compliance:

• • Vendors must comply with all applicable local and international laws, including tax laws, consumer protection laws, and e-commerce regulations;
  • Vendors agree not to use the Platform to engage in fraudulent, illegal, or misleading business practices.

3. Commission and Fees

3.1. Commission Structure:

• • Prek Market currently does not charge any commission on the total value of sales made through the platform.
  • Note: This may change in the future as we continue to grow and improve our services.

3.2. Changes to Commission:

• • Prek Market reserves the right to introduce or modify the commission rate at any time.
  • If and when a commission is introduced, vendors will be notified in advance. Continued use of the platform after such changes constitutes acceptance of the new commission terms.

3.3. Additional Fees:

• • Some optional services—such as premium product listings, ads, or promotional tools—may incur additional fees. These charges will always be clearly disclosed before use, and vendors can choose whether or not to opt in.

4. Payment and Payout

4.1. Vendor Payment Collection Authorization:

• • By registering as a vendor, you agree to allow Prek Market to collect payments from customers for your orders through the Prek Market payment system.

4.2. Payment Processing:

• • All customer payments are processed through Prek Market’s integrated with ABA payment system.

4.3. Payout Eligibility:

• • Payouts are made only after a customer confirms successful receipt of the product or after a designated confirmation period, depending on the platform policy.

4.4. Payment Process and Requirement:

• • Payouts are not automatic. Vendors must submit a withdrawal request through their vendor dashboard.
  • A minimum withdrawal threshold applies and is visible in the vendor dashboard under the withdrawal request section. (Note: This threshold is subject to change at any time without prior notice)
  • Vendors must have a Cambodian local bank account that supports KHQR.
  • International bank accounts are not supported.
  • Any bank transfer fees incurred during the payout process are the responsibility of the vendor, as Prek Market currently charges no commission on vendor sales.

4.5. Payment Schedule:

• • Once a withdrawal request is approved, payouts are processed according to Prek Market’s internal schedule.
  • Funds typically arrive within 1–3 business days, depending on your bank’s processing time.

4.6. Payment Disputes:

• • In the event of payment disputes, Prek Market will review all relevant documentation before making a determination.

5. Prohibited Activities and Listings

5.1. Vendors are prohibited from selling:

• • Illegal, counterfeit, or stolen goods;
  • Hazardous materials or regulated substances without proper authorization;
  • Products that infringe on intellectual property rights;
  • Any items listed in Prek Market’s banned or restricted products list.

5.2. Prek Market reserves the right to remove any product listing that violates these Terms or is deemed inappropriate, harmful, or fraudulent.

6. Suspension and Termination

6.1. Prek Market may suspend or terminate your vendor account immediately if you:

• • Violate these Terms or any other Prek Market policy;
  • Engage in fraudulent or abusive behavior;
  • Repeatedly fail to fulfill orders or receive excessive customer complaints.

6.2. Vendors may close their account at any time via the vendor dashboard, subject to completion of all pending orders and payouts.

7. Intellectual Property

7.1. Vendors retain ownership of the intellectual property rights in their product content but grant Prek Market a non-exclusive, worldwide, royalty-free license to display and market the products on the Platform.

7.2. Vendors must not use Prek Market’s name, trademarks, or branding without prior written permission.

8. Data Privacy and Security

8.1. Vendors agree to collect, use, and store customer data only for the purposes of fulfilling orders and providing customer service, in compliance with applicable data protection laws.

8.2. Vendors must not share, sell, or misuse customer data for any purpose outside of Prek Market.

9. Modifications to Terms

9.1. Prek Market reserves the right to modify these Terms at any time, with or without notice.

9.2. Updated Terms will be posted on the Platform. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.

10. Limitation of Liability

10.1. Prek Market shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Platform, including loss of profits, business, or data.

10.2. Prek Market is not responsible for disputes between vendors and customers, though we may assist in resolving them at our discretion.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the Kingdom of Cambodia. Any dispute arising from or in connection with these Terms shall be submitted to the competent courts of Cambodia.

12. Acceptance

By registering as a vendor on Prek Market, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.
